1. Acceptance of Terms
Welcome to ChinaAutoGlobal (the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ChinaAutoGlobal ("we," "us," or "our") governing your access to and use of the Platform, including all content, features, and services offered through the Platform.
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific features or services. If you do not agree to these Terms, you must immediately cease using the Platform.
If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
2. Platform Role and Nature of Service
ChinaAutoGlobal operates solely as an information intermediary and marketplace platform. We provide a digital environment where buyers and suppliers can discover, communicate, negotiate, and transact regarding automotive products and related goods. We are not a party to any transaction between buyers and suppliers.
The Platform does not own, manufacture, inspect, store, or ship any products listed on the Platform. All products are listed and sold by independent third-party suppliers. We do not guarantee the quality, safety, legality, or accuracy of any product listings, supplier claims, or user content.
Our role is limited to providing the technology platform, facilitating communication between parties, processing payments through third-party payment processors, and providing dispute resolution assistance. We are not an agent, representative, or fiduciary of any buyer or supplier.
3. User Accounts and Registration
3.1 Account Creation
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.
3.3 Account Types
The Platform supports multiple user roles including buyers, suppliers, and supplier staff members. Each role has specific permissions and responsibilities as outlined in these Terms. Suppliers may invite staff members with designated roles (product manager, sales, finance, supplier admin) to manage their operations on the Platform.
3.4 Account Termination
We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may also request account closure by contacting us.
4. Buyer Responsibilities
As a buyer on the Platform, you agree to:
- Provide accurate business information and legitimate purchasing intentions when submitting inquiries.
- Conduct your own due diligence on suppliers and products before entering into any transaction.
- Comply with all applicable import regulations, customs requirements, and safety standards in your destination country.
- Obtain all necessary import licenses, permits, and certifications required for automotive products in your jurisdiction.
- Understand and accept the trade terms (Incoterms) agreed upon with the supplier, including the allocation of costs, risks, and responsibilities.
- Make timely payments as agreed in the transaction terms.
- Inspect goods upon receipt and report any discrepancies within the timeframes specified in the transaction terms.
- Not use the Platform for any illegal purpose, including but not limited to sanctions evasion, money laundering, or circumvention of trade restrictions.
5. Supplier Responsibilities
As a supplier on the Platform, you agree to:
- Provide accurate and truthful information about your company, products, pricing, and capabilities.
- Maintain valid business licenses, export qualifications, and all necessary certifications.
- Ensure all product listings accurately describe the products, including specifications, conditions, pricing, and availability.
- Comply with all applicable Chinese export regulations, including export control laws, product safety standards, and quality requirements.
- Fulfill orders in accordance with the agreed trade terms (Incoterms), including proper packaging, documentation, and shipping.
- Provide accurate and complete export documentation, including commercial invoices, packing lists, certificates of origin, and any required inspection certificates.
- Respond to buyer inquiries and quotation requests in a timely and professional manner.
- Not list counterfeit, stolen, or illegally obtained products on the Platform.
- Not engage in price manipulation, false advertising, or deceptive trade practices.
- Maintain appropriate product liability insurance for the products sold through the Platform.
6. Products and Listings
6.1 Product Categories
The Platform facilitates trade in the following categories: new vehicles, used/certified pre-owned vehicles, construction machinery, and automotive parts and accessories. All products must comply with applicable Chinese export regulations and the import regulations of the destination country.
6.2 Pricing
All prices displayed on the Platform are indicative and subject to change. Prices may be listed in multiple currencies for reference purposes; however, the actual transaction currency and price shall be as agreed between the buyer and supplier. Exchange rates are provided for reference only and may differ from actual rates at the time of transaction.
Prices displayed under different Incoterms (EXW, FOB, FCA, CIF, CIP) reflect different cost allocations and do not necessarily include all costs associated with the transaction. Buyers are responsible for understanding the cost implications of each Incoterm.
6.3 Product Images and Descriptions
Product images and descriptions are provided by suppliers. While we encourage accuracy, we do not independently verify product listings. Actual products may differ from images and descriptions. Buyers should request detailed specifications and, where possible, arrange independent inspections before finalizing transactions.
7. Transactions and Payments
7.1 Transaction Process
Transactions on the Platform typically follow this process: inquiry submission, supplier quotation, buyer acceptance, deposit/earnest money payment, order confirmation, production/preparation, shipping, and final settlement. The specific terms of each transaction are agreed between the buyer and supplier.
7.2 Payments
Payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy. We are not responsible for any errors, delays, or issues caused by the payment processor.
7.3 Deposits and Earnest Money
Certain transactions may require a deposit or earnest money payment to secure an order. The terms for deposits, including refundability conditions, are specified in the transaction details. Deposits may be non-refundable in certain circumstances, including but not limited to buyer cancellation after supplier has commenced production or procurement.
7.4 Refunds
Refund eligibility depends on the specific circumstances of the transaction, the agreed trade terms, and the stage of order fulfillment. Refund requests are evaluated on a case-by-case basis. The Platform may facilitate refund processing but does not guarantee refunds in all circumstances. Refunds, when approved, will be processed through the original payment method.
8. International Trade Compliance
8.1 Export Compliance
All transactions conducted through the Platform must comply with applicable export control laws and regulations of the People's Republic of China, including but not limited to the Export Control Law, the Foreign Trade Law, and relevant regulations issued by the Ministry of Commerce (MOFCOM) and the General Administration of Customs.
8.2 Import Compliance
Buyers are solely responsible for ensuring compliance with all import regulations, customs requirements, vehicle safety standards, emission standards, and homologation requirements in their destination country. The Platform does not guarantee that any product listed is compliant with the regulations of any specific destination country.
8.3 Sanctions and Restricted Parties
Users must not use the Platform to conduct transactions that violate international sanctions, trade embargoes, or restrictions imposed by the United Nations, the United States, the European Union, or any other applicable jurisdiction. Users represent and warrant that they are not located in, or nationals of, any sanctioned country, and are not on any restricted party list.
8.4 Vehicle Safety and Standards
Vehicles and machinery sold through the Platform are manufactured to Chinese standards unless otherwise specified. Buyers are responsible for understanding the differences between Chinese standards and the standards required in their destination market, and for arranging any necessary modifications, testing, or certifications.
9. Warranty Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties regarding the accuracy, reliability, or completeness of any product listings, supplier information, or user content.
- Warranties that the Platform will be uninterrupted, error-free, or secure.
- Warranties regarding the quality, safety, legality, or suitability of any products listed on the Platform.
Product warranties, if any, are provided solely by the supplier and not by the Platform. The Platform makes no representations or warranties regarding any supplier's ability to fulfill orders, the condition of products, or the accuracy of product descriptions. Used vehicles are sold "as-is" unless the supplier explicitly provides a warranty.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHINAAUTO GLOBAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform.
- Any loss of profits, revenue, data, business opportunities, or goodwill.
- Any damages arising from transactions between buyers and suppliers, including product defects, delivery failures, or payment disputes.
- Any damages resulting from unauthorized access to or alteration of your data or transmissions.
- Any damages arising from the actions or omissions of third-party service providers, including payment processors and shipping carriers.
In no event shall our total aggregate liability to you for all claims arising from or related to the Platform exceed the total fees paid by you to the Platform in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless ChinaAutoGlobal and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of or access to the Platform.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any rights of a third party, including intellectual property rights.
- Any content you submit, post, or transmit through the Platform.
- Any transaction you enter into with another user of the Platform.
12. Intellectual Property
12.1 Platform Content
All content on the Platform that is not user-generated, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the property of ChinaAutoGlobal or its licensors and is protected by copyright, trademark, and other intellectual property laws.
12.2 User Content
By submitting content to the Platform (including product listings, images, reviews, and messages), you grant ChinaAutoGlobal a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such content in connection with the operation of the Platform.
12.3 Third-Party Trademarks
All third-party brand names, trademarks, and logos appearing on the Platform (including but not limited to vehicle manufacturer names and logos) are the property of their respective owners. Their appearance on the Platform does not imply any affiliation with or endorsement by the trademark owners.
13. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Listing or purchasing counterfeit, stolen, or illegally obtained products.
- Providing false, misleading, or deceptive information in product listings, inquiries, or communications.
- Manipulating prices, reviews, or ratings on the Platform.
- Using the Platform to facilitate money laundering, terrorism financing, or sanctions evasion.
- Circumventing or attempting to circumvent the Platform's security measures, access controls, or payment systems.
- Scraping, crawling, or using automated means to access the Platform without our express written permission.
- Interfering with or disrupting the Platform's infrastructure or other users' access to the Platform.
- Using the Platform to send unsolicited commercial communications (spam).
- Impersonating another person or entity, or falsely claiming an affiliation with any person or entity.
- Engaging in any activity that violates applicable laws, regulations, or these Terms.
14. Complaint Handling and Dispute Resolution
14.1 Complaint Submission
Users may submit complaints through the Platform's complaint system. We aim to acknowledge all complaints within 24 hours and provide an initial response within 3 business days. Complaint categories include product quality issues, delivery problems, payment disputes, supplier conduct, and other transaction-related concerns.
14.2 Dispute Resolution Process
In the event of a dispute between a buyer and a supplier, the parties are encouraged to first attempt to resolve the dispute through direct negotiation. If direct negotiation fails, either party may request Platform-assisted mediation. The Platform will review the dispute, gather evidence from both parties, and propose a resolution. Platform-mediated resolutions are non-binding recommendations unless both parties agree to be bound.
14.3 Formal Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform that cannot be resolved through the above process shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-effective arbitration rules. The seat of arbitration shall be Guangzhou, China. The language of arbitration shall be English and Chinese. The arbitral award shall be final and binding upon both parties.
14.4 Online Dispute Resolution (ODR)
For users located in the European Union, you may also submit disputes to the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. For users in other jurisdictions, we support the use of internationally recognized online dispute resolution mechanisms, including those provided by UNCITRAL and the Asian International Arbitration Centre (AIAC) Online Dispute Resolution platform. Users may initiate ODR proceedings through the Platform's complaint system, and we will facilitate the process by providing necessary transaction records and communication logs to the chosen ODR provider.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. For matters not covered by Chinese law, internationally recognized trade practices and conventions, including the United Nations Convention on Contracts for the International Sale of Goods (CISG), may apply where relevant.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through the Platform or via email. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and ChinaAutoGlobal regarding the use of the Platform and supersede all prior agreements, understandings, and communications.
